Terms of Service.

01 Agreement to these terms

These Terms of Service ("Terms") are an agreement between you ("you," "your," the "seller") and Holzman AI & Automations ("Holzman AI," "we," "us"), the provider of the Ledgerly application ("the application," "the service"). By authorizing, accessing, or using the application, you agree to these Terms. If you do not agree, do not authorize or use the application.

02 The service

Ledgerly connects to your Amazon account through Amazon's Selling Partner API to help you stay on top of your numbers — reconciling your Amazon records and turning your account data into clear, ongoing reporting and monitoring. The specific scope of work for any engagement is described in the proposal or service agreement we provide to you.

03 Eligibility and authorization

• You must be an Amazon seller, or an authorized representative of one, with the right to grant access to the relevant Amazon account.
• You grant the application access through Amazon's official authorization (OAuth) flow, and you represent that you are authorized to grant that access.
• You may withdraw authorization at any time in Amazon Seller Central, which stops further access to your account data.

04 Acceptable use

You agree to use the application only for its intended purpose, and you agree not to:

• Use the application in any way that violates Amazon's policies or applicable law;
• Attempt to access data belonging to any account that has not authorized you;
• Interfere with, disrupt, reverse-engineer, or attempt to gain unauthorized access to the application or its infrastructure; or
• Misrepresent your identity or authority to grant account access.

05 Fees

Engagements are quoted individually — typically a one-time build fee plus a monthly retainer — and set out in the proposal or service agreement provided to you. Those commercial terms, including payment and cancellation, govern alongside these Terms. The application does not charge fees automatically through Amazon.

06 Your data and privacy

Our handling of data accessed through the application is described in our Privacy Policy, which forms part of these Terms. You retain all rights to your data. We use it only to provide the service to you, in line with the Privacy Policy and Amazon's Data Protection Policy.

07 Confidentiality

We treat your account data and business information as confidential, and we use it only to provide and support the service. We do not sell it or disclose it except as described in our Privacy Policy.

08 Intellectual property

We retain all rights, title, and interest in the application, including its software, design, and underlying methods. These Terms do not transfer ownership of the application to you. You retain ownership of your data and your Amazon account.

09 Third-party services

The application relies on Amazon's Selling Partner API and other third-party infrastructure. Your relationship with Amazon is governed by Amazon's own terms. We are not responsible for Amazon's services, changes Amazon makes to its API or policies, or interruptions or decisions that originate with Amazon or other third parties.

10 Disclaimers

The application is provided on an "as is" and "as available" basis. We do not guarantee any specific financial outcome or result. Reports and reconciliations are provided to support your decisions and are not financial, legal, accounting, or tax advice. Final decisions, claims, and filings remain your responsibility.

11 Limitation of liability

To the maximum extent permitted by law, Holzman AI will not be liable for any indirect, incidental, special, or consequential damages, or for lost profits, revenue, or data, arising out of or related to your use of the application. Our total liability for any claim relating to the service will not exceed the fees you paid for the service in the thirty (30) days preceding the claim.

12 Term and termination

These Terms apply while the application is authorized to access your account. Either party may end the engagement as set out in the applicable service agreement, and you may withdraw the application's access at any time. On termination, we handle your data as described in the Privacy Policy.

13 Changes to these terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the application after an update means you accept the revised Terms.

14 Governing law

These Terms are governed by the laws of the State of New York, and the state and federal courts located in New York County, New York will have jurisdiction over any dispute, except where applicable law requires otherwise.
